Spin-off Establishment Process

The process of establishing spin-off companies at the University of Western Macedonia includes the following steps:
  1. Expression of interest by researcher(s) to the Technology Transfer and Innovation Unit (TTU)
  2. Proposal by the TTU to the Three-Member Evaluation Committee for the Establishment of Spin-off Companies
  3. Recommendation by the Three-Member Evaluation Committee for the Establishment of Spin-off Companies to the Board of Directors of the University of Western Macedonia
  4. Decision on the establishment of a spin-off company by the Board of Directors of the University of Western Macedonia
  5. Establishment of a spin-off company by the interested researchers

Expression of interest

The faculty member or researcher who may represent a group of researchers contacts the Technology Transfer Office and completes the relevant Spin-off Company Questionnaire and the Application for Establishment. This application includes:

  1. The foundation request and the interested cofounders of the spin-off.
  2. Clear identification of the scientific research results to be exploited.
  3. The identification of the individual persons involved in the production of the results as researchers and the organisations they belong to.
  4. The market sector(s) in which the spin-off company proposes to operate.

Recommendation of the Research Committee to the Rectors’ Council

The Research Committee recommends to the Rector’s Council the establishment of a spin-off company. Its recommendation – opinion includes:

  1. all the above-mentioned elements of the application – expression of interest.
  2. the draft contract between the spin-off and the University.
  3. the viability report and the business planning elements for the spin-off company.
 

Decision on the establishment of a spin-off

The spin-off companies of the University of Western Macedonia are established following the decision of the Rector’s Council of the University of Western Macedonia:

  1. The establishment of the spin-off company is approved along with the participation of the founders in its shareholding and/or management.
  2. Deciding whether or not the University will participate in the spin-off company and the specific terms of participation. It may participate either at the time of the establishment of the spin-off or subsequently.
  3. The draft contract between spin-off company and the University shall be approved.
  4. Decision on whether or not the University will participate in the procedure for the registration of industrial property rights.

Establishment of the spin-off company

The decision on whether or not the University accepts the establishment of a spin-off company on the basis of the researchers’ application shall be taken within four (4) months of the submission of the application at the latest, failing which the application shall be deemed to have been approved if a favorable opinion has been given from Research Committee.
The founding partners shall establish the spin-off company within six (6) months of the adoption of the approval decision. If the six (6) month period has not elapsed, the researchers concerned shall resubmit their application and the whole procedure shall be repeated.
